1、从词的性质来说，study可以作及物动词，不及物动词，名词；learn可以作及物动词和不及物动词。
例如：
He went to Hull University, where he studied History and Economics..他去了赫尔大学学习历史和经济学。（及物动词）
Please study hard!请努力学习！（不及物动词）
My brother is fond of study.我兄弟喜欢学习。（名词）
He is learning to play the piano.他在学钢琴。（及物动词）
I'm sorry to learn of his illness.我听说他生病，甚为难过。
2、从字意上来讲：
learn, vt. & vi. 学习; 学; 学会
It is never too late to learn.活到老学到老。
learn, vt. & vi. 得知; 获悉; 听说
